TERMS AND CONDITIONS FOR INNOVIA SHIELD VPN

Introduction:
Welcome to Innovia Shield VPN, a service provided by Innovia Technologies LLC (“we,” “us,” or “our”). By accessing or using Innovia Shield VPN (“the Service” or “App”), you agree to comply with and be bound by these Terms and Conditions (“Terms”). These Terms apply to all users of the Service, including but not limited to visitors, customers, and registered users. If you do not agree with any part of these Terms, you must discontinue using the Service immediately.
Your Agreement with Innovia Technologies LLC:
These Terms constitute a legally binding agreement between you (“you,” “your,” or “user”) and Innovia Technologies LLC. By accessing or using the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you are prohibited from using the Service.
Your User Account:
To use certain features of Innovia Shield VPN, you may be required to create an account. You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities that occur under your account. You agree to:

– Update your account information as needed to maintain its accuracy.

We reserve the right to suspend or terminate your account at our sole discretion if we believe you have violated these Terms or engaged in unauthorized activities.
Subscription and Auto Renewals:
Innovia Shield VPN offers subscription-based services, which automatically renew at the end of each billing cycle unless canceled. By subscribing, you agree to pay the subscription fees, taxes, and any applicable charges associated with your chosen plan. The subscription will continue until canceled by you or Innovia Technologies LLC.
You may cancel your subscription at any time through your account settings, but please note that any cancellations will apply to the next billing cycle, and you will not be eligible for a refund for the current billing period.
Prices and Payments:
Subscription fees are subject to change, and we reserve the right to modify them at any time. We will notify you in advance of any price changes, and your continued use of the Service after such notification constitutes acceptance of the new rates. Payments are processed through third-party payment processors, and you agree to comply with their terms and conditions. All payments are non-refundable unless stated otherwise in our Cancellation and Refund Policy.
Cancellation and Refund Policy:
You may cancel your subscription through your account settings. We offer a 1-day refund policy for annual subscriptions, provided the request is made within the specified time frame. Monthly subscriptions are non-refundable. Refunds will be processed within 5-10 business days of receiving your request. Please note that refunds are not available for accounts that have violated these Terms.
License Terms:
Innovia Technologies LLC grants you a limited, non-exclusive, non-transferable, and revocable license to use Innovia Shield VPN for personal, non-commercial purposes. You may not:
– Modify, adapt, translate, or reverse-engineer the app.
– Distribute, resell, or sublicense the app to third parties.
– Use the app for illegal purposes or in a manner that violates these Terms.
Violation of these license terms may result in the immediate termination of your access to the Service.
Prohibited and Restricted Use:
You agree not to use Innovia Shield VPN for any activities that:
– Involve hacking, spamming, or phishing.
– Transmit any content that is illegal, abusive, harassing, defamatory, or obscene.
– Violate any applicable laws, regulations, or third-party rights.
– Attempt to gain unauthorized access to our systems, networks, or other users’ accounts.
We reserve the right to take legal action and suspend or terminate your account if you engage in prohibited activities.
Disclaimer of Warranties:
Innovia Shield VPN is provided “as is” and “as available,” without any warranties or representations, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not guarantee that the Service will be uninterrupted, error-free, secure, or that any defects will be corrected.
Limitation of Liabilities:
To the fullest extent permitted by law, Innovia Technologies LLC and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of Innovia Shield VPN.
Indemnification:
You agree to indemnify, defend, and hold harmless Innovia Technologies LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney’s fees) arising out of or in connection with your use of the Service, violation of these Terms, or infringement of any third-party rights.
Suspension and Termination:
We reserve the right to suspend or terminate your access to Innovia Shield VPN, with or without notice, at our sole discretion, for any reason, including violation of these Terms, suspected fraudulent activities, or misuse of the Service. Upon termination, your right to use the Service will immediately cease.
Application Platform Terms:
These Terms are in addition to the terms and conditions of the platform from which you downloaded Innovia Shield VPN (e.g., Apple iOS App Store). By using our app, you agree to comply with all applicable platform rules and policies.
Bundled Subscriptions and Third-Party Services:
Your subscription may include access to third-party services, which are governed by their own terms and conditions. Innovia Technologies LLC is not responsible for the quality, performance, or availability of these third-party services, and you acknowledge that your use of such services is at your own risk.
Governing Law and Dispute Resolution:
These Terms shall be governed by and construed in accordance with the laws of the state of Texas, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be resolved through binding arbitration. You agree to waive any right to a trial by jury or to participate in a class action lawsuit.
Class Action Waiver:
You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.
Modification and Termination of Services:
We reserve the right to modify, suspend, or discontinue Innovia Shield VPN, or any part thereof, at any time, with or without notice. We are not liable for any changes or interruptions to the Service.
Data Charges:
You are responsible for any data charges incurred while using Innovia Shield VPN, including charges from your mobile service provider. Innovia Technologies LLC is not responsible for any data charges you may incur.
Third Party Components:
Innovia Shield VPN may include third-party software, which is subject to separate license terms. By using the Service, you agree to comply with the applicable third-party terms and conditions.
Prevailing Language:
These Terms are provided in English. In case of any discrepancies between the English version and a translated version, the English version shall prevail.
Force Majeure:
Innovia Technologies LLC shall not be held liable for any failure or delay in the performance of its obligations due to events beyond its reasonable control, including but not limited to natural disasters, acts of war, terrorism, strikes, labor disputes, governmental actions, pandemics, or technical failures.
